OZ vs 1031 Exchange: Which Tax Strategy Wins in 2026

You have capital gains. You want to defer taxes. Two tools: the 1031 exchange and the Opportunity Zone fund. Both defer taxes but work differently. Choosing the right one depends on your situation.

1031 Exchange Basics

You swap one investment property for another without triggering capital gains tax. You reinvest the full sale proceeds, both principal and gains, into a like-kind property. The timeline is tight: 45 days to identify a replacement, 180 days to close. Only works for real estate.

Opportunity Zone Basics

You invest only the capital gains portion from any asset sale (real estate, stocks, business) into a qualified fund within 180 days. Taxes on the gain are deferred for 5 years from investment. If you hold for 10 years, all appreciation inside the OZ fund is tax-free. You keep the principal in cash or invest it elsewhere.

When OZ Wins

You only want to reinvest gains, not principal. On a $1M sale with a $400K gain, a 1031 requires reinvesting the full $1M. An OZ fund only needs the $400K. You keep $600K liquid.

You're selling stock or a business. 1031 only works for real estate. OZ funds accept gains from any asset type.

You want tax-free appreciation. After 10 years, all OZ investment gains are excluded from tax. A 1031 just defers the original gain until you eventually sell the replacement property.

When 1031 Wins

You want to defer all proceeds, not just gains. 1031 lets you roll everything into the next property.

You want direct ownership and control. 1031 gives you a specific property. OZ funds may involve pooled investments.

You don't want geographic restrictions. 1031 properties can be anywhere. OZ investments must be in designated tracts.

You want indefinite deferral. A 1031 chain can defer gains indefinitely through successive exchanges. OZ deferral has a fixed 5-year window.

Selling real estate and want to stay in real estate with full proceeds? 1031. Selling anything and want to invest only the gains while keeping cash? OZ. Want tax-free appreciation after 10 years? OZ.
